1. Introduction and Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the ZUI by Osen website and its online services, including restaurant information, menus, reservation requests, and private event inquiries.

ZUI by Osen is operated by ZUI BY OSEN LLC (“we,” “us,” or “our”).

By accessing or using our website, you agree to these Terms to the extent applicable under law. Where affirmative acceptance is required or appropriate, you will be given an opportunity to review and accept the applicable terms.

If you do not agree to these Terms, please discontinue use of the website.

Additional terms may apply to specific reservations, purchases, private events, and promotional offers. Where applicable, those terms will be provided separately.

2. Restaurant Information and Availability

Our website provides information about ZUI by Osen, including our restaurant, dining experiences, menus, operating hours, location, reservations, and special offerings.

We make reasonable efforts to keep website information accurate and current. However, menu items, ingredients, prices, operating hours, and availability may change from time to time.

Website information does not guarantee the availability of a particular dish, ingredient, reservation time, or service.

Please contact us directly if you need confirmation of specific menu items, ingredients, operating hours, or reservation availability.

3. Reservations, Changes, and Cancellations

Reservations may be requested through our website or through third-party reservation platforms, where available.

A reservation is confirmed only when confirmation is issued by ZUI by Osen or the applicable reservation provider.

When making a reservation, you agree to provide accurate information, including your name, contact information, party size, and any other information reasonably required to manage the reservation.

Please review your reservation confirmation carefully and contact us promptly if you need to make changes.

Reservation Changes and Cancellations

Reservation changes and cancellations are subject to the applicable policy disclosed during the booking process.

Certain reservations may be subject to cancellation deadlines, deposits, prepaid charges, or other conditions. Applicable charges and conditions will be disclosed before you complete the booking or otherwise agree to them, as required by law.

Cancellation requests should be submitted through the applicable reservation platform or directly to our restaurant, as instructed in your confirmation.

Late Arrivals and No-Shows

Please arrive at the time stated in your reservation confirmation.

Late arrivals may affect the availability or timing of your seating. We will make reasonable efforts to accommodate late arrivals, subject to restaurant operations and availability, but cannot guarantee that the original reservation time will be maintained.

A no-show or late-cancellation charge may apply only where permitted by law and where the applicable policy and charge have been properly disclosed and agreed to.

4. Private Dining, Group Reservations, and Events

Private dining, large-party reservations, and private events may be subject to separate written agreements or booking terms.

Depending on the arrangement, these terms may address:

- Deposits and advance payments.

- Minimum spending requirements or guaranteed guest counts.

- Event duration and scheduled seating times.

- Cancellation, rescheduling, and refund conditions.

- Food, beverages, taxes, mandatory service charges, and gratuities.

- Guest-count deadlines and other event requirements.

Please review all event terms before confirming your booking.

Any deposit, minimum-spending obligation, cancellation charge, or other fee will be subject to the applicable agreement and law. We will not impose a charge solely because it appears in these general Terms if the charge was not properly disclosed or agreed to where required.

Where a separate written event agreement applies, it will govern the specific event arrangements to the extent of any conflict with these Terms, subject to applicable law.

5. Menu Prices, Payments, and Additional Charges

Menu items, ingredients, portion sizes, and prices may change based on seasonality, availability, and restaurant operations.

Applicable government-imposed taxes may be added as permitted by law.

Mandatory restaurant service charges and other mandatory fees will be disclosed in accordance with applicable California law. Any mandatory restaurant fee subject to California's menu-disclosure requirements will be clearly and conspicuously disclosed wherever menu prices are displayed.

Optional gratuities will be distinguished from mandatory charges where applicable.

Payment methods may vary depending on the transaction or service. By authorizing a payment, you agree to pay the amount disclosed for the applicable order, reservation, or event, together with any properly disclosed and authorized charges.

We do not authorize fraudulent or unauthorized transactions. If you believe a transaction was made in error or without authorization, please contact us promptly.

Refunds, credits, and payment adjustments are subject to the applicable purchase or booking terms and applicable law.

Nothing in these Terms limits any consumer right to a refund or other remedy that cannot legally be waived.

6. Gift Cards

Gift cards and gift certificates are subject to separate Gift Card Terms & Conditions, which will be made available through our website where applicable.

Gift cards will be issued, sold, and administered in accordance with applicable California and federal law, including requirements concerning expiration dates, fees, and cash redemption.

Any applicable restrictions, redemption conditions, or exceptions will be disclosed as required by law.

Nothing in these Terms or any separate gift card policy limits statutory rights that cannot legally be waived.

7. Food Safety and Menu Information

Menu items, ingredients, and preparation methods may vary. Guests who have questions about ingredients, food preparation, or dietary concerns should speak with our staff before ordering.

Certain menu items may contain raw or undercooked animal-derived foods. Consuming such foods may increase the risk of foodborne illness.

We will provide food safety disclosures and consumer advisories where required by applicable law. Any required menu disclosure will be provided separately in the manner required by law.

Nothing in these Terms waives or limits our legal obligations concerning food safety, allergen disclosure, or consumer protection.

8. Website Use and Prohibited Activities

You may use our website only for lawful purposes and in accordance with these Terms.

You agree not to:

- Use the website in violation of applicable laws or regulations.

- Submit fraudulent, misleading, or unauthorized reservation requests.

- Interfere with the website's security, functionality, or availability.

- Attempt unauthorized access to our systems, accounts, or data.

- Introduce malicious software or harmful code.

- Copy, scrape, or systematically collect website content without authorization, except as permitted by law.

- Impersonate another person or misrepresent your identity.

- Infringe the intellectual property or other legal rights of another person.

We may take reasonable steps to protect our website, guests, business, and service providers from misuse, subject to applicable law.

9. Intellectual Property

Unless otherwise indicated, the website and its content, including text, photographs, graphics, logos, branding, videos, designs, and other materials, are owned by or licensed to ZUI by Osen, ZUI BY OSEN LLC, or the applicable rights holder.

These materials are protected by applicable intellectual property laws.

You may access and view website content for personal, noncommercial use. You may not reproduce, distribute, modify, publicly display, or commercially exploit protected materials without prior written permission from the applicable rights holder, except as permitted by law.

Nothing in these Terms transfers ownership of any intellectual property to you.

10. Third-Party Services and Links

Our website may link to or integrate with third-party services, including reservation platforms, payment processors, mapping services, social media platforms, and other external websites.

These services may be subject to their own terms, privacy policies, and practices.

We do not control all third-party services and are not responsible for their independent content, availability, or operations.

Your use of a third-party service is subject to the terms applicable to that service.

Nothing in this section excludes responsibility for our own conduct where applicable law imposes such responsibility.

11. Privacy and Personal Information

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy, available through a clearly labeled link on our website.

Please review our Privacy Policy to understand how we handle personal information submitted through our website or in connection with reservations, inquiries, and other services.

Where applicable law requires additional privacy notices, disclosures, or methods for submitting consumer requests, we will provide them in accordance with applicable law.

Nothing in these Terms waives or limits any privacy rights that cannot legally be waived.

12. Website Availability and Disclaimers

We make reasonable efforts to maintain the availability and accuracy of our website. However, we do not guarantee that the website will always be uninterrupted, error-free, or available.

To the extent permitted by law, website content is provided on an “as available” basis, and warranties concerning the website are disclaimed only to the extent legally permissible.

This section applies to the website and its informational content. It does not eliminate obligations relating to restaurant operations, food safety, services provided, or other matters for which applicable law imposes responsibility.

13. Limitation of Liability

To the maximum extent permitted by applicable law, ZUI BY OSEN LLC will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from or relating to the use of our website where such limitations are legally enforceable.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Nothing in this section waives nonwaivable consumer rights or releases us from legal obligations concerning our own conduct.

14. Indemnification

To the extent permitted by applicable law, you may be responsible for losses or claims directly resulting from your unlawful use of the website, your violation of these Terms, or your infringement of another person's rights.

Nothing in this section requires you to indemnify us for our own negligence, willful misconduct, violation of law, or any other matter for which indemnification cannot legally be required.

15. Accessibility

We are committed to making our website and online information accessible to users.

If you experience difficulty accessing website content or need assistance with restaurant information or reservations, please contact us using the information below.

We will consider accessibility concerns and requests for assistance in accordance with applicable law.

16. Changes to These Terms

We may update these Terms to reflect changes in our business, website, services, or applicable legal requirements.

When changes are made, we will update the “Last Updated” date above. Where required by law, we will provide additional notice or obtain consent.

Updated Terms will apply from their stated effective date, subject to applicable law. Changes will not retroactively eliminate rights or obligations that have already accrued.

We encourage you to review these Terms periodically.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute arising from these Terms or the use of our website will be handled by a court of competent jurisdiction, subject to applicable law and any valid separate agreement between the parties.

Nothing in this section prevents either party from exercising a statutory right or seeking relief in a forum where applicable law permits the claim to be brought.

18. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

The invalid or unenforceable provision will be limited or interpreted only as necessary to comply with applicable law, where legally permissible.

19. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right, unless otherwise required by law.

Any waiver must be consistent with applicable law.

20. Entire Agreement

These Terms, together with our Privacy Policy and any applicable reservation, purchase, gift card, or event-specific terms, govern your use of our website and related online services.

Where a separate written agreement applies to a particular reservation, event, or transaction, that agreement will govern the specific subject matter it addresses to the extent of any conflict, subject to applicable law.
